BUSINESS MEMBER - TERMS AND CONDITIONS Last updated 5 Aug 2008 1. COMMITMENT. We—meaning you and B1G1—have a commitment to work together to make a difference for the period of your membership (which you’ll hopefully extend and continue to extend). 2. PARTNERING WITH A WORTHY CAUSE PARTNER. Your B1G1 Membership is, of course, only active while you are partnering with and contributing to at least one Worthy Cause Partner. You will have found that Worthy Cause Partner in one of 3 ways: either on your own through the self-partnering process on the B1G1 website OR you’ll have selected your one pre-existing Worthy Cause OR you’ll have asked B1G1 to work specifically and directly with you to find a Partner who resonates with you (separate fees apply) and with whom we can appropriately match your ‘per transaction’ contribution so that it resonates with your clients and customers too. In that latter case, if we cannot find a match that’s suitable to you within a 3-month period, you can request (and you will receive) all monies paid for your B1G1 membership. (You might optionally leave the funds in B1G1 as a sign of on-going sponsoring support for what we’re doing. You cannot retain your membership unless you are actively contributing, to do otherwise compromises us both. A grace period of three months is allowed to decide the cause to support and you will make your first contribution within 1-12 month from the date depending on how often you will be reporting your contribution to us. 3. Buy1GIVE1's RIGHT TO TERMINATE MEMBERSHIP. Buy1GIVE1 reserves the right to terminate a membership should the member or partner act in a way that is considered to be gross misconduct, fraud, gross misrepresentation or in cases where a businesses actions are publicly damaging to Buy1GIVE1. You will not be able to use B1G1 giving story unless you are actively contributing to a cause. 4. DURATION OF TERMS AND CONDITIONS. For Annual Business Members this agreement is in place for twelve months from the date of signing. For Five Year Business Partners, this agreement is in place for a period of five years or until such time as the Partner should choose to cancel their partnership in writing. 5. GOVERNING LAW. This Agreement shall be construed under the laws of Singapore. 6. PARTNERSHIP. Despite the term ‘Partnership’ being used to describe Annual and 5-year options, the term is not used here in the normal legal context of the word. Legally the agreement is based on a membership structure. Nothing herein contained shall be construed to place the parties in the relationship of legally bound partners or joint venturers or of franshisor/franschisee. 7. BUSINESS LIABILITY. Membership of Buy1GIVE1 carries no business liability whatsoever for any of Buy1GIVE1's business operations or services. There is no responsibility whatsoever, legal or otherwise, for the company or for any of its assets, liabilities or obligations. 8. BUSINESS OWNERSHIP. Buy1GIVE1 membership specifically does not mean that the business member has any ownership whatsoever of any part of the Buy1GIVE1 service or Envision Enterprises PTE LTD, Envision Enterprises Limited or any associated companies even though the member has access to Buy1GIVE1 marketing materials and logos. 9. TRANSFER & CANCELLATION OF 5-YEAR PARTNERSHIP. Buy1GIVE1 Membership cannot normally be transferred to another company. Some circumstances may exist where that can be done subject to agreement in writing. 10. ANNUAL MEMBERSHIP FEES. Annual fees are due at the then current rates upon expiry of your periodic membership. An invoice will be issued to renew annual membership 14 days before expiry of the current membership. Should membership fees remain unpaid 21 days after their due date or the expiry date of the current membership, it will be deemed that the membership has been cancelled along with all rights to use any B1G1 materials and registered intellectual property. All B1G1 intellectual property (logos etc) must be fully removed from all business materials within 30 days of termination of membership. 11. 100% TO WORTHY CAUSE. Buy1GIVE1 guarantees that 100 per cent of contribution funds (less any bank charges involved in transfers) go directly to the Business Member’s or Business Partner’s designated Worthy Cause Partner. Further, in the case of Five Year Partners, Buy1GIVE1 warrants that it will forge an agreement between the B1G1 Member and the Worthy Cause so that the Worthy Cause provides (through Buy1GIVE1) marketing aids for the use of the B1G1 Member if so desired by the B1G1 Member. 12. CHANGES IN TERMS & CONDITIONS. Terms and conditions of membership can change without notice. The current terms and conditions are displayed on the B1G1 website under Terms and Conditions.
